Executive Summary
Across the 14 filings for the BSE FMCG stream dated 28 October 2026, the dominant story is a sharp divergence between top-line momentum and margin/profit quality.
Hindustan Unilever (HUL) delivered its strongest Underlying Sales Growth in 14 quarters (USG 15%, UVG 7%, Turnover Rs 18,071 Cr), yet EBITDA margin contracted 140 bps YoY to 22.6% and reported PAT was flat at Rs 2,796 Cr because the prior-year base carried a Rs 273 Cr one-off tax gain; PAT before exceptional items grew 9%. United Spirits (USL) showed similar mixed prints: Q2 FY27 standalone NSV grew 2.8% and H1 NSV 4.2%, but Q2 EBITDA fell 4.3% with margin down 146 bps to 19.7%, while the Popular segment's NSV dropped 22.7% on Maharashtra MML and Karnataka excise changes. Consolidated USL profit was pressured by a Rs 32 Cr loss from the Sports (RCSPL) business reclassified as discontinued operations, pending BCCI approval of the sale, which is expected within 12 months. Portfolio-level pattern: top-line growth is being bought through price/mix and A&P rather than volume, with cost pressure from West Asia and rising advertising intensity compressing margins. Emami's filing is administrative only, and the remaining HUL and USL governance and personnel filings are routine, so the market-moving content is concentrated in HUL's Q2 print, the USL segment disclosures, and the pending RCSPL sale.

Investment Signals (9)
- Hindustan Unilever ↓ (BULLISH)▲
Underlying Sales Growth of 15% YoY is its highest in 14 quarters, with UVG at 7% and Home Care USG at 22%, showing broad-based momentum
- Hindustan Unilever ↓ (BULLISH)▲
Standalone PAT before exceptional items grew 11% to Rs 2,843 Cr and consolidated PAT bei grew 9%, indicating underlying earnings growth despite flat reported PAT
- Hindustan Unilever ↓ (BULLISH)▲
Interim dividend of Rs 19 per share declared for FY27 (record date 12 Nov 2026, payment 25 Nov 2026), a clear shareholder-return signal
- Hindustan Unilever ↓ (BEARISH)▲
EBITDA margin contracted 140 bps YoY to 22.6% despite 15% sales growth, and Foods growth was price/mix-led with low-single-digit UVG, signalling margin pressure
- United Spirits ↓ (BEARISH)▲
Standalone H1 FY27 PAT rose 16.8% to Rs 853 Cr (Rs 730 Cr prior year), but this was aided by Rs 150 Cr dividend income from RCSPL and exceptional items, so quality of earnings is lower
- United Spirits ↓ (BULLISH)▲
Q2 FY27 gross margin expanded 88 bps to 48.0% and P&A segment NSV grew 6.3% in Q2, showing premiumisation traction
- United Spirits ↓ (BEARISH)▲
Q2 standalone EBITDA fell 4.3% to Rs 643 Cr with margin contracting 146 bps to 19.7% as A&P rose to 11.6% of NSV from 7.6%, indicating heavy marketing reinvestment
- United Spirits ↓ (BULLISH)▲
Sale of RCSPL (Sports) under an Amended and Restated SPA, awaiting BCCI approval with completion expected within 12 months, could crystallise value and simplify the group
- United Spirits ↓ (BEARISH)▲
Q2 consolidated PAT from continuing operations was roughly flat at Rs 460 Cr vs Rs 467 Cr, and total profit fell to Rs 428 Cr from Rs 464 Cr due to discontinued ops swinging to a loss
Risk Flags (9)
- United Spirits/Popular Segment↓ [HIGH RISK]▼
Popular segment NSV dropped 22.7% in Q2 and 20.6% in H1 due to Maharashtra MML and Karnataka excise changes, a material regulatory-driven volume hit
- United Spirits/Sports (RCSPL) Volatility↓ [HIGH RISK]▼
Sports segment EBITDA swung to negative Rs 11 Cr in Q2 from positive Rs 264 Cr in Q1 FY27, and discontinued profit swung from Rs 226 Cr to a Rs 32 Cr loss quarter-on-quarter
- United Spirits/Legacy Litigation↓ [HIGH RISK]▼
Unresolved SEBI/ED inquiries, RBI queries, the UBHL loan dispute and IDBI Bank litigation remain open, with auditors drawing attention without modifying conclusions
- Hindustan Unilever/Margin Compression↓ [MEDIUM RISK]▼
Consolidated EBITDA margin fell 140 bps YoY to 22.6% while EBITDA grew only 8% against 15% sales growth, signalling cost/reinvestment pressure
- Hindustan Unilever/Foods Quality of Growth↓ [MEDIUM RISK]▼
Foods revenue rose ~9-11% YoY to Rs 3,849 Cr but segment results were flat at Rs 834 Cr and UVG was only low-single digit, meaning growth is price-driven and tea is softening under inflation
- Hindustan Unilever/Personal Care Volume↓ [MEDIUM RISK]▼
Personal Care UVG was flat against 9% USG, indicating pure price-led growth with no volume momentum
- Hindustan Unilever/Reported Earnings Optics↓ [MEDIUM RISK]▼
Reported PAT flat at Rs 2,796 Cr versus Rs 2,791 Cr because of the prior-year Rs 273 Cr one-off tax gain, which will depress headline growth comparisons near-term
- Hindustan Unilever/Subsidiary Audit Scope↓ [LOW RISK]▼
Auditor relied on another auditor's review for subsidiary Unilever Nepal Limited, and a Brazilian subsidiary was included only up to 8 Sept 2026 (since liquidated), flagged as a governance/disclosure housekeeping item
- United Spirits/Earnings Concentration↓ [MEDIUM RISK]▼
Half-year profit leans on Rs 150 Cr dividend income and exceptional items (H1 exceptional charge of Rs 70 Cr vs Q2 gain of Rs 11 Cr), so underlying H1 profitability is flattered
Opportunities (8)
- Hindustan Unilever/Home Care & Beauty Momentum↓ (OPPORTUNITY)◆
Home Care USG of 22% and Beauty & Wellbeing USG of 16% (Beauty revenue Rs 4,319 Cr, +17% YoY) show high-growth categories compounding, a candidate for re-rating if sustained
- Hindustan Unilever/Margin Recovery Lever↓ (OPPORTUNITY)◆
With EBITDA margin down 140 bps but 15% USG, any normalisation of input costs or A&P intensity would flow disproportionately to EBITDA; PAT bei growth of 9% vs EBITDA 8% shows operating leverage is recoverable
- Hindustan Unilever/Dividend Yield Support↓ (OPPORTUNITY)◆
Rs 19 interim dividend (record date 12 Nov 2026) provides near-term income catalyst ahead of payment on 25 Nov 2026
- United Spirits/RCSPL Monetisation↓ (OPPORTUNITY)◆
Completion of the RCSPL sale within 12 months (pending BCCI approval) could unlock a sizeable asset value and remove the volatile Sports segment from consolidated earnings, sharpening the core spirits story
- United Spirits/Premiumisation Engine↓ (OPPORTUNITY)◆
P&A NSV growth of 7.8% in H1 and 6.3% in Q2, combined with gross margin expansion of 88 bps to 48.0%, shows the mix shift toward premium brands is working even as the Popular segment contracts
- United Spirits/Standalone Earnings Re-rating↓ (OPPORTUNITY)◆
Standalone H1 PAT up 16.8% to Rs 853 Cr; if excise-driven Popular weakness stabilises and A&P normalises from 11.6% of NSV, core EBITDA margin (19.7% in Q2) could recover
- United Spirits/Management Continuity↓ (OPPORTUNITY)◆
Appointment of Sameer Chugh (ex-Bharti Group Group GC, 30+ years legal leadership) as General Counsel effective 1 Dec 2026 provides a credible successor amid the outgoing GC transition and legacy litigation
- Sector/Pricing Power (OPPORTUNITY)◆
HUL's 15% USG on 7% volume confirms pricing power in FMCG, supporting the thesis that premium and home-care brands can sustain price-led growth even as volume recovery lags
Sector Themes (6)
- Revenue Growth Decoupled from Profit Growth◆
HUL (USG 15% vs EBITDA +8%) and USL (NSV +2.8% vs EBITDA -4.3% in Q2) both show top-line expansion not translating to EBITDA, averaging roughly 6-7 points of growth-to-profit gap across the two large names; implication is that investors should key on margin trajectory rather than headline sales [BULLISH/BEARISH MIXED]
- Price/Mix Over Volume (CAUTIOUS)◆
HUL UVG of 7% vs USG of 15%, Personal Care UVG flat vs USG 9%, and Foods UVG low-single digit indicate most FMCG growth in the period came from pricing and mix, raising sustainability questions if input inflation or consumer elasticity worsens
- Advertising Intensity Rising (BEARISH)◆
USL Q2 A&P rose to 11.6% of NSV from 7.6% a year earlier, and HUL's margin pressure coincides with reinvestment, suggesting FMCG players are spending heavily to defend share against price-led competition and cost inflation
- Premiumisation vs Regulated Volume Pressure (MIXED)◆
USL's P&A grew 6-8% while Popular fell 20-23% on Maharashtra MML and Karnataka excise changes, showing state-level regulatory action is the key volume risk for alcobev and a driver of mix shift toward premium
- Capital Returns Intact (BULLISH)◆
HUL declared Rs 19 interim dividend; USL's standalone cash and other equity improved sequentially, indicating balance sheets remain strong enough to support shareholder returns despite margin pressure
- Governance and Disclosure Hygiene (NEUTRAL)◆
Multiple filings this period cover earnings-call recordings, insider trading code amendments (effective 29 Oct 2026, pre-clearance threshold Rs 10 lakh), voluntary subsidiary liquidation and senior management changes, reflecting routine but elevated compliance activity; no insider transactions or pledges were disclosed
Watch List (7)
-
Rs 19 per share interim dividend; record date Thursday 12 Nov 2026, payment Wednesday 25 Nov 2026, watch for any commentary on FY27 margin trajectory on the follow-up call
-
Awaiting BCCI approval under the Amended and Restated SPA, completion expected within 12 months; monitor BCCI decision timing and final consideration

-
Sameer Chugh takes over as General Counsel, India effective 1 Dec 2026; Shobana Nikam's resignation effective 31 Oct 2026 and Archana Sasan's consulting tenure ends 31 Dec 2026; monitor for any changes in legal disclosures or litigation posture
-
SEBI/ED inquiries, UBHL loan dispute and IDBI Bank litigation remain unresolved with auditor emphasis; any ruling could be material
-

-
Foods UVG low-single digit with tea softened by inflation and mass tea weaker; monitor whether input-cost inflation (including West Asia-related pressures) drives further price increases or margin dilution in H2 FY27
